Social Media and the SEC: Elon Musk is Still Tweeting

32891617344_251b416fd3_o-1024x512-1 Social media continues to grow as the powerhouse of information flow in modern times, and while it often seems no one is policing the content and fact and fiction are often indistinguishable, the SEC is policing the statements of at least one social media influencer, Elon Musk. After Musk tweeted in August of 2018 that he had secured financing to take Tesla private at $420 per share, the SEC filed a complaint alleging that his tweets comprised a series of “false and misleading statements” to his millions of followers. The resulting court-approved settlement, reached in October, stipulated that Musk had to seek pre-approval of any written communications – including social media posts – that contained or reasonably could contain information material to Tesla or its shareholders. In connection with the settlement, Tesla and Musk were each required to pay $20 million to the SEC.

Just days ago, Musk was back under scrutiny, having tweeted, “Tesla made 0 cars in 2011, but will make around 500k in 2019” without pre-approval from his counsel and for that, the SEC filed an enforcement motion seeking to have Musk held in contempt. Continue reading ›

The Legal Intelligencer’s Women in the Profession Roundtable

Kang Haggerty founding member Jacklyn Fetbroyt was invited to participate in The Legal Intelligencer’s Women in the Profession Roundtable, featured in the publication’s November 2016 “Top Women in Law” special supplement.

The roundtable, moderated by Morgan Lewis chair Jami McKeon, addressed issues that included recruitment and retention of female lawyers, gender equality issues, work-life balance and challenges facing women at law firms today.

The editorial staff of The Legal has always been aware that the hiring and retention of female attorneys is an ongoing issue in the legal community. In an effort to discuss some of the specific problems facing female attorneys and present potential solutions to those problems, we invited 11 practitioners to talk about how to bolster the role of women in the law. This year the panelists tackled issues such as work-life balance, equal pay and the lack of positive change and opportunities for women in the legal profession.

Among the issues discussed were recruitment and retention of female lawyers, gender equality issues, work-life balance and challenges facing women at law firms today. Fetbroyt on LLC Operating Agreements for the National Business Institute

Jacklyn Fetbroyt will speak on the topic of LLC operating agreements as part of a full day continuing legal education (CLE) program for the National Business Institute on April 25, 2016 in Philadelphia, Pennsylvania. She will address the subjects of formation and drafting: articles and operating agreement; and members and managers: rights, responsibilities and voting provisions. Additional seminar subjects addressed include common operating agreement mistakes and key LLC litigation developments; tax mistakes made in distribution, allocation and entity selection; transfer restriction issues, right of first refusal, impasses (put/call), capital call and dissolution provisions; and ethics.
